ROCKSTAR WIRELESS DJ LIFESTYLE PARTNER AGREEMENT This DJ Lifestyle Partner Agreement (“Agreement”) is entered into by and between Rockstar Wireless (“Company,” “Rockstar Wireless,” “we,” “us,” or “our”) and the individual or entity identified below as the DJ Lifestyle Partner (“Partner,” “DJ Partner,” “you,” or “your”). This Agreement sets forth the terms under which Partner may promote Rockstar Wireless as part of the Rockstar Wireless DJ Lifestyle Partner Program. 1. Program Overview Rockstar Wireless is a lifestyle-driven wireless brand built around music, culture, nightlife, entertainment, travel, influence, technology, and everyday connection. The DJ Lifestyle Partner Program is designed for DJs, celebrity DJs, radio personalities, nightlife influencers, event brands, and culture leaders who can help introduce Rockstar Wireless to their audiences. Partner is not being hired as an employee. Partner is joining as an independent brand partner who may earn commissions, benefits, promotional opportunities, free wireless lines, and possible subscriber-value participation based on qualified subscriber performance and the applicable partner level. The purpose of this program is simple: • Partner promotes the Rockstar Wireless lifestyle. • Rockstar Wireless handles checkout, activation, customer support, tracking, reporting, and service. • Partner earns based on qualified subscriber activity and approved program benefits. 2. Partner Appointment Rockstar Wireless appoints Partner as a non-exclusive DJ Lifestyle Partner for the purpose of promoting Rockstar Wireless products, services, offers, events, and campaigns using approved promo codes, QR codes, tracking links, landing pages, social media content, live events, and other approved marketing channels. This appointment is non-exclusive unless otherwise agreed to in writing. Partner may not represent that they are an owner, employee, officer, director, agent, legal representative, or authorized signer of Rockstar Wireless unless expressly approved in writing. 3. Partner Responsibilities Partner agrees to promote Rockstar Wireless in a professional, positive, and brand-aligned manner. Partner’s responsibilities may include: • Sharing approved Rockstar Wireless offers with followers, fans, event attendees, and audiences. • Using the assigned promo code, QR code, tracking link, or landing page. • Posting the required minimum monthly content based on partner level. • Maintaining proper advertising and affiliate disclosures. • Avoiding false, misleading, exaggerated, or unauthorized claims. • Directing customers to Rockstar Wireless support for service, billing, activation, or technical questions. • Protecting the Rockstar Wireless brand, name, reputation, and intellectual property. • Following all applicable laws, platform rules, and advertising guidelines. Partner shall not make guarantees about coverage, savings, free service, device compatibility, earnings, equity, buyouts, acquisitions, or future value unless such claims are expressly approved in writing by Rockstar Wireless. 4. Rockstar Wireless Responsibilities Rockstar Wireless will provide Partner with the tools needed to participate in the program, which may include: • Custom promo code. • Custom tracking link. • Custom QR code. • DJ landing page or approved sign-up page. • Promo content kit. • Approved captions and messaging. • Monthly performance report. • Commission tracking. • Customer checkout and activation support. • Customer service support. • Payment processing for approved commissions. • Brand assets and campaign materials. Rockstar Wireless is responsible for wireless service operations, plan setup, customer support, activation, and account management. Partner is not responsible for providing customer service unless separately agreed to in writing. 5. Partner Tools Upon approval, Partner may receive: • Custom promo code • Custom tracking link • Custom QR code • Personalized DJ landing page • Social media graphics • Story templates • Reel scripts • Approved captions • Event flyer assets • Monthly reporting access or report summary • Rockstar Wireless logo and brand assets • Approved disclosure language Partner must use only approved Rockstar Wireless marks, logos, claims, pricing, plan descriptions, and offers. 6. Minimum Monthly Promotion Requirements The program is designed to be simple, easy, and not tedious for busy DJs and culture partners. Unless otherwise approved in writing, Partner agrees to complete the following minimum monthly activity: • One Reel or short-form video per month • Two Instagram Stories or equivalent social posts per month • One event mention, QR code placement, flyer placement, recap mention, mic shoutout, or link-in-bio placement per month This equals only four simple promotional actions per month. Rockstar Wireless may waive, adjust, or modify the monthly requirements for certain celebrity, tour, radio, event, or strategic partners by written approval. 7. Approved Monthly Content Examples Partner may satisfy monthly promotional requirements through content such as: • DJ booth video • Club entrance video • Backstage video • Studio session clip • Airport or travel clip • Event recap post • Story with link sticker • QR code on event flyer • QR code on venue screen • Mic shoutout • Podcast mention • Radio mention • Link in bio • Story highlight • Co-branded event flyer The content should feel natural, lifestyle-based, and culture-driven. Partner should not over-explain technical wireless details. The message should be simple: Rockstar Wireless keeps people connected. 8. Approved Messaging Partner may use approved messaging such as: “Switch to Rockstar Wireless. Premium wireless starting at $24.99. Bring your own phone, keep your number, and use my code [CODE] for $10 off your first month.” “Need wireless? Tap in with Rockstar Wireless. Use my code [CODE] and save.” “From the booth to the road, I stay connected with Rockstar Wireless. Use my code [CODE] and make the switch.” “Rockstar Wireless is wireless for the culture. Use my code [CODE] and join today.” “Stay connected at the club, in the studio, on the road, and everywhere in between with Rockstar Wireless.” Partner may not modify pricing, plan terms, promotional offers, or service promises unless approved by Rockstar Wireless. 9. Required Advertising Disclosure Partner agrees to clearly disclose any material relationship with Rockstar Wireless when promoting the Company, including when Partner may receive commissions, free service, gifts, bonuses, revenue share, or other compensation. Approved disclosures include: • #ad • #partner • #RockstarWirelessPartner • “Paid partner with Rockstar Wireless.” • “I may earn from this link.” • “Partner post with Rockstar Wireless.” Disclosures must be clear, visible, and easy for the audience to understand. They should not be hidden at the end of a long caption or buried in unclear language. Partner is responsible for complying with applicable advertising, endorsement, platform, and consumer protection rules. 10. Partner Levels Partner may qualify for different levels based on active subscribers, campaign performance, strategic value, audience reach, or written approval by Rockstar Wireless. Rockstar Wireless may approve, deny, upgrade, downgrade, pause, or terminate partner level status based on performance, compliance, brand conduct, subscriber quality, fraud review, or business needs. LEVEL 1: LIFESTYLE DJ PARTNER Minimum Qualification Lifestyle DJ Partner status may be granted to approved DJs or partners who are accepted into the program and begin promoting Rockstar Wireless. Suggested performance threshold: • 10 qualified active subscribers referred Monthly Activity Requirement • 1 Reel or short-form video per month • 2 Stories or equivalent social posts per month • 1 event mention, QR code placement, flyer placement, mic shoutout, recap mention, or link-in-bio placement per month Benefits Lifestyle DJ Partners may receive: • Custom promo code • Custom tracking link • Custom QR code • Promo content kit • Monthly performance report • Standard commission on qualified active subscribers • Access to approved campaign assets • 1 free unlimited Rockstar Wireless line while Partner remains active and in good standing Lifestyle DJ Partners are eligible for standard monthly commissions only unless otherwise approved in writing. LEVEL 2: FEATURED DJ PARTNER Minimum Qualification Featured DJ Partner status may be granted to partners who show consistent promotion, subscriber growth, and brand alignment. Suggested performance threshold: • 100 qualified active subscribers referred Monthly Activity Requirement • 1 Reel or short-form video per month • 2 Stories or equivalent social posts per month • 1 event mention, QR code placement, flyer placement, mic shoutout, recap mention, or link-in-bio placement per month • Use of link, code, or QR code during key event weekends when possible Benefits Featured DJ Partners may receive: • Everything included in Lifestyle DJ Partner level • Featured placement on Rockstar Wireless social media • Select campaign promotion opportunities • Priority access to event co-branding opportunities • Higher commission opportunities when approved • 5 free unlimited Rockstar Wireless lines while Partner remains active and in good standing • Subscriber Value Participation on qualified active subscribers personally enrolled through Partner’s approved promo code, QR code, tracking link, or landing page LEVEL 3: ROCKSTAR DJ PARTNER Minimum Qualification Rockstar DJ Partner status may be granted to high-performing partners with strong cultural influence, active promotion, and proven subscriber performance. Suggested performance threshold: • 1,000 qualified active subscribers referred Monthly Activity Requirement • 1 Reel or short-form video per month • 2 Stories or equivalent social posts per month • 1 event mention, QR code placement, flyer placement, mic shoutout, recap mention, or link-in-bio placement per month • Rockstar Wireless inclusion in select events, tour stops, branded appearances, club nights, or media moments when possible Benefits Rockstar DJ Partners may receive: • Everything included in Featured DJ Partner level • Premium commission structure • Custom Rockstar Wireless landing page • Custom campaign graphics • Event co-branding support • Priority placement in Rockstar Wireless campaigns • Possible city, region, event, or tour ambassador opportunity • 10 free unlimited Rockstar Wireless lines while Partner remains active and in good standing • Bonus payout eligibility tied to approved subscriber milestones • Subscriber Value Participation on qualified active subscribers personally enrolled through Partner’s approved promo code, QR code, tracking link, or landing page LEVEL 4: ELITE CULTURE PARTNER Minimum Qualification Elite Culture Partner status may be granted to nationally recognized DJs, celebrity DJs, radio personalities, major event brands, celebrity partners, entertainment brands, or culture leaders. Suggested performance threshold: • 10,000 qualified active subscribers referred, or • Custom strategic agreement approved by Rockstar Wireless Monthly Activity Requirement Elite Culture Partner requirements may be customized in writing based on the partner’s influence, reach, event schedule, media value, audience, or strategic relationship. Benefits Elite Culture Partners may receive: • Custom deal structure • Custom commission and bonus plan • Major campaign placement • Event sponsorship opportunities • Co-branded activations • Custom free-line package based on written agreement • Possible revenue-share, licensing, exit bonus, or strategic upside opportunity if approved in writing • Subscriber Value Participation on qualified active subscribers personally enrolled through Partner’s approved promo code, QR code, tracking link, or landing page • Priority consideration for long-term strategic partnership opportunities 11. Free Unlimited Line Benefits Free unlimited Rockstar Wireless lines are program benefits, not guaranteed lifetime benefits. Free-line benefits are available only while Partner: • Remains active in the program; • Maintains good standing; • Meets applicable monthly promotional requirements unless waived; • Does not violate this Agreement; • Does not engage in fraud, abuse, false promotion, or brand-damaging conduct. Free-line benefits by level: • Lifestyle DJ Partner: 1 free unlimited line • Featured DJ Partner: 5 free unlimited lines • Rockstar DJ Partner: 10 free unlimited lines • Elite Culture Partner: Custom free-line package by written agreement Rockstar Wireless may modify, suspend, replace, or terminate free-line benefits upon written notice if required by carrier rules, business needs, fraud review, program changes, or partner non-compliance. Free lines have no cash value and may not be sold, transferred, bartered, or resold. 12. Qualified Subscribers For purposes of this Agreement, “Qualified Subscribers” means subscribers who: • Enroll using Partner’s approved promo code, QR code, tracking link, or landing page; • Activate paid Rockstar Wireless service; • Remain active and in good standing for the required qualification period; • Are not refunded, charged back, duplicated, fraudulent, inactive, cancelled, or reassigned; • Are not already attributed to another partner, campaign, agent, or channel; • Meet all applicable Rockstar Wireless subscriber qualification rules. Rockstar Wireless has final authority to determine whether a subscriber is a Qualified Subscriber. 13. Commissions Partner may earn commissions based on Qualified Subscribers attributed to Partner. Commission terms may include one or more of the following: • Monthly recurring commission per Qualified Subscriber; • One-time activation bonus; • Hybrid activation bonus plus recurring commission; • Subscriber milestone bonus; • Custom partner bonus; • Special campaign incentive. Unless otherwise stated in writing, commissions are paid only on Qualified Subscribers who remain active and in good standing through the applicable commission period. Rockstar Wireless may withhold, reverse, offset, or deny commissions for: • Refunds • Chargebacks • Fraudulent enrollments • Duplicate accounts • Cancelled accounts • Non-payment • Misattributed subscribers • Violation of this Agreement • Unauthorized marketing claims • Suspicious or abusive activity Commission rates, payout dates, minimum payout thresholds, and payment method shall be determined by Rockstar Wireless or set forth in a separate commission schedule. 14. Example Commission Structure Unless replaced by a separate written commission schedule, the following may be used as a sample structure: • $10 monthly commission per qualified active subscriber • Optional activation bonus when approved • Optional milestone bonuses when approved • Optional premium commission tiers for Featured DJ Partners and above Example only: • 100 active subscribers = potential $1,000 monthly commission • 500 active subscribers = potential $5,000 monthly commission • 1,000 active subscribers = potential $10,000 monthly commission These examples are for illustration only. Actual earnings depend on verified subscriber activity, partner level, approved commission rate, customer retention, chargebacks, cancellations, and program rules. No earnings are guaranteed. 15. Subscriber Value Participation Featured DJ Partners and above may be eligible for Subscriber Value Participation based on the qualified active subscribers they personally enroll into Rockstar Wireless. Subscriber Value Participation is designed to reward partners who help grow the Rockstar Wireless subscriber base, brand value, and cultural reach. For purposes of this Agreement, Subscriber Value Participation may be calculated based on the number of Qualified Subscribers attributed to Partner at the time of a qualifying company event, strategic transaction, acquisition, sale, merger, public offering, revenue-share event, licensing event, or other approved liquidity event. Subscriber Value Participation does not give Partner ownership of: • Customers • Customer accounts • Customer data • Phone numbers • Wireless lines • Company assets • Company stock • Voting rights • Management rights • Board rights • Intellectual property • Carrier relationships • Telecom infrastructure • Any guaranteed equity interest Any subscriber upside, equity-equivalent bonus, exit bonus, acquisition participation, revenue-share, or liquidity-event payment must be approved in writing and may be subject to: • Partner level eligibility; • Qualified Subscriber verification; • Active status at the time of the qualifying event; • Compliance review; • Fraud review; • Subscriber retention requirements; • Vesting schedule if applicable; • Company approval; • Final written agreement; • Applicable law. No payout, stock, security, ownership interest, acquisition, sale, merger, public offering, buyout, liquidity event, or exit event is promised or guaranteed. This Agreement does not create a security, stock grant, equity grant, partnership ownership interest, joint venture interest, or investment contract unless expressly stated in a separate written agreement signed by Rockstar Wireless and Partner. 16. Tracking and Attribution Rockstar Wireless will use reasonable tracking methods to attribute subscribers to Partner, including promo codes, QR codes, tracking links, landing pages, customer forms, or other approved attribution methods. Partner understands that attribution may be affected by customer behavior, browser settings, incorrect code entry, device changes, third-party platform limits, duplicate campaigns, or technical issues. Rockstar Wireless has final authority to determine attribution. If a subscriber is claimed by multiple partners or channels, Rockstar Wireless may assign attribution based on its internal records, timing, campaign source, promo code use, or other reasonable business factors. 17. Monthly Reports Rockstar Wireless may provide Partner with a monthly performance report showing some or all of the following: • Clicks • Leads • New activations • Qualified Subscribers • Active subscribers • Cancelled subscribers • Chargebacks • Commission earned • Bonuses earned • Free-line status • Payout date Reports are for program use only and may not be publicly shared without written approval from Rockstar Wireless. 18. Payment Terms Approved commissions shall be paid according to the payout schedule established by Rockstar Wireless. Partner is responsible for providing accurate payment information and any required tax documentation. Rockstar Wireless may delay payment if: • Partner has not provided required payment or tax information; • Subscriber activity is under review; • Fraud or abuse is suspected; • There is a chargeback, refund, or cancellation issue; • Partner has violated this Agreement; • A minimum payout threshold has not been reached. Partner is responsible for all taxes arising from commissions, bonuses, free-line benefits, or other compensation received through the program. 19. Taxes Partner is solely responsible for reporting and paying all applicable taxes related to income, commissions, bonuses, benefits, free wireless lines, or other compensation received under this Agreement. Rockstar Wireless may issue applicable tax forms where required by law. Partner agrees to provide accurate tax documentation upon request. 20. Brand Use and Intellectual Property Rockstar Wireless grants Partner a limited, revocable, non-exclusive, non-transferable right to use approved Rockstar Wireless logos, trade names, graphics, promo materials, and campaign assets solely for approved promotional activity under this Agreement. Partner may not: • Modify Rockstar Wireless logos without approval; • Use outdated or unapproved materials; • Register domains, usernames, trademarks, or pages using Rockstar Wireless marks without approval; • Create confusing or misleading brand pages; • Imply ownership of Rockstar Wireless; • Use Rockstar Wireless branding for unauthorized products or services. All Rockstar Wireless intellectual property remains the property of Rockstar Wireless. 21. Content Ownership and Usage Rights Partner retains ownership of Partner-created content, subject to the license granted below. Partner grants Rockstar Wireless a non-exclusive, worldwide, royalty-free license to repost, share, display, edit for formatting, promote, and use Partner’s approved Rockstar Wireless-related content for marketing, advertising, social media, website, investor, partner, and campaign purposes. Rockstar Wireless shall not falsely imply endorsements beyond the scope of Partner’s participation. If special content usage restrictions apply, they must be stated in writing. 22. Prohibited Conduct Partner may not: • Make false or misleading claims. • Promise guaranteed savings, coverage, free service, income, equity, or future buyouts. • Spam users. • Buy fake followers, fake leads, fake subscribers, or fake engagement. • Use bots, click farms, or fraudulent traffic. • Misrepresent Rockstar Wireless pricing, service, coverage, plan terms, or promotions. • Offer unauthorized discounts. • Represent themselves as customer support. • Collect customer personal information outside approved systems. • Use customer data without authorization. • Promote Rockstar Wireless in connection with illegal, hateful, violent, obscene, deceptive, or brand-damaging content. • Resell free lines. • Transfer promo codes without approval. • Use Rockstar Wireless branding for competing or unauthorized offers. • Violate platform rules or advertising laws. Violation of this section may result in immediate suspension, termination, forfeiture of unpaid commissions, removal of free-line benefits, and loss of Subscriber Value Participation eligibility. 23. Customer Support Partner should direct customers to Rockstar Wireless’ official website, sign-up page, QR code, landing page, or customer support. Partner should not attempt to resolve technical, billing, plan, coverage, activation, or account issues unless authorized by Rockstar Wireless. 24. Confidentiality Partner may receive confidential or non-public information, including commission rates, subscriber numbers, reports, campaign strategy, business plans, customer trends, partner information, technology information, or future business opportunities. Partner agrees not to disclose confidential information without written approval. This obligation continues after the Agreement ends. 25. Data Protection Partner shall not collect, store, sell, share, or misuse customer personal information obtained through the program. All subscriber sign-ups should occur through approved Rockstar Wireless systems, landing pages, checkout pages, or authorized partners. Partner must immediately notify Rockstar Wireless if Partner becomes aware of any unauthorized data access, customer complaint, privacy issue, or misuse of subscriber information. 26. Independent Contractor Partner is an independent contractor. Nothing in this Agreement creates an employment relationship, agency relationship, franchise, joint venture, legal partnership, or ownership relationship. Partner has no authority to bind Rockstar Wireless, sign contracts on behalf of Rockstar Wireless, incur obligations for Rockstar Wireless, or make legal representations for Rockstar Wireless. 27. Non-Exclusivity Unless otherwise agreed in writing, this Agreement is non-exclusive. Rockstar Wireless may work with other DJs, influencers, affiliates, agents, brands, venues, promoters, and partners. Partner may engage in other business activities, provided those activities do not violate this Agreement or create a conflict with specific written campaign terms. 28. Term This Agreement begins on the Effective Date and continues month-to-month unless terminated by either party according to this Agreement. A separate written campaign agreement may establish a different term. 29. Termination Either party may terminate this Agreement with written notice. Rockstar Wireless may immediately suspend or terminate Partner for: • Fraud; • Brand-damaging conduct; • False advertising; • Failure to disclose paid relationship; • Violation of platform rules; • Misuse of customer data; • Misuse of brand assets; • Non-performance; • Unauthorized claims; • Resale of free lines; • Any breach of this Agreement. Upon termination: • Partner must stop using Rockstar Wireless branding. • Partner must remove or stop promoting assigned links if requested. • Free-line benefits may be cancelled. • Unpaid commissions may be paid, withheld, or forfeited depending on the reason for termination. • Subscriber Value Participation eligibility may end unless otherwise stated in writing. 30. Effect of Termination on Commissions If Partner terminates or is terminated without cause, Rockstar Wireless may pay approved commissions earned before the termination date, subject to verification, chargebacks, refunds, and program rules. If Partner is terminated for cause, fraud, non-compliance, false advertising, misuse of data, or brand-damaging conduct, Rockstar Wireless may withhold or forfeit unpaid commissions, bonuses, free-line benefits, and Subscriber Value Participation eligibility. 31. No Guarantees Rockstar Wireless does not guarantee: • Any amount of income • Any number of subscribers • Any commission amount • Any free-line continuation • Any bonus • Any social media growth • Any brand campaign • Any acquisition • Any buyout • Any equity event • Any public offering • Any liquidity event • Any Subscriber Value Participation payout All opportunities are subject to performance, eligibility, written approval, compliance, and business conditions. 32. Compliance With Laws and Platform Rules Partner agrees to comply with all applicable laws, rules, regulations, advertising standards, privacy requirements, platform policies, and endorsement guidelines. This includes clear disclosure of paid, gifted, affiliate, commission-based, or materially connected promotional content. Partner is responsible for ensuring that posts, stories, videos, live mentions, and other promotions comply with applicable social media platform rules. 33. Indemnification Partner agrees to defend, indemnify, and hold harmless Rockstar Wireless, its owners, officers, directors, employees, contractors, affiliates, vendors, and partners from any claims, damages, losses, penalties, costs, or expenses arising from: • Partner’s breach of this Agreement; • Partner’s false or misleading statements; • Partner’s failure to disclose compensation or relationship; • Partner’s violation of law or platform rules; • Partner’s misuse of customer data; • Partner’s unauthorized use of intellectual property; • Partner’s fraudulent, deceptive, or harmful conduct. 34. Limitation of Liability To the maximum extent permitted by law, Rockstar Wireless shall not be liable for indirect, incidental, special, consequential, punitive, or lost-profit damages arising from this Agreement or the DJ Lifestyle Partner Program. Rockstar Wireless’ total liability under this Agreement shall not exceed the amount of approved commissions actually owed to Partner for the prior three months, unless otherwise required by law. 35. Modification of Program Rockstar Wireless may modify the DJ Lifestyle Partner Program, including partner levels, benefits, commission rates, free-line benefits, eligibility rules, promotional requirements, and reporting methods. Rockstar Wireless will provide notice of material changes when reasonable. Continued participation after notice of changes constitutes acceptance of the updated program terms. 36. Assignment Partner may not assign, sell, transfer, or delegate this Agreement, promo code, landing page, free-line benefit, commission rights, or Subscriber Value Participation rights without written approval from Rockstar Wireless. Rockstar Wireless may assign this Agreement in connection with a merger, acquisition, sale, restructuring, financing, or transfer of business operations. 37. Governing Law This Agreement shall be governed by the laws of the State of ____________, without regard to conflict-of-law principles. Venue for any dispute shall be in the state or federal courts located in ____________, unless otherwise required by law. 38. Entire Agreement This Agreement, together with any approved commission schedule, campaign addendum, or written partner-level addendum, represents the entire agreement between the parties regarding the DJ Lifestyle Partner Program. Any changes must be in writing and approved by Rockstar Wireless. 39. Severability If any part of this Agreement is found invalid or unenforceable, the remaining sections shall remain in full force and effect. 40. Notices Notices under this Agreement may be sent by email, mail, or other approved business communication method.
